SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached an agreement to acquire Hugging Face in a deal estimated at approximately $12.93 billion. The final binding agreement was signed on September 2, 2026. Nvidia will allocate roughly $11.9 billion to Hugging Face shareholders, subject to standard adjustments. The deal also includes up to around $1 billion in equity-based retention incentives for eligible staff. The companies anticipate the transaction will be finalized in the first half of 2027, pending necessary approvals.

Hugging Face runs a leading platform for AI models, datasets, software libraries, and developer tools. Nvidia reports that the platform serves more than 18 million developers, researchers, and creators. It hosts over 3 million models and roughly 500,000 datasets. The platform also offers access to over 1 million applications used for AI development. More than 200,000 organizations leverage Hugging Face’s services to explore, test, customize, and implement AI systems across various computing environments.
Post-acquisition, both companies stated Hugging Face will support multiple models, frameworks, cloud services, and hardware platforms. Developers will not be required to use Nvidia hardware to access the platform. The company will continue backing open-source and open-weight models from various providers. Its services will also remain compatible with numerous cloud providers and accelerator hardware. Nvidia mentioned that the platform will maintain support for silicon vendors beyond its own products, in line with the commitments associated with the deal.
Commitments to the Open AI Platform Will Continue
Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. Over time, the company expanded its offerings to include model hosting, datasets, developer libraries, and cloud-based AI tools. In August 2023, Hugging Face achieved a valuation of $4.5 billion following a funding round that raised $235 million from tech investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects that connected developers with Nvidia’s computing infrastructure and software solutions.
Nvidia disclosed the acquisition agreement through a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the deal is still pending and has not yet closed. Finalization depends on regulatory approvals and usual closing procedures. Nvidia also outlined operational commitments for Hugging Face after the deal, including ongoing access to models and datasets, multi-cloud support, and compatibility with hardware from other semiconductor manufacturers.
Nvidia Aims for First-Half 2027 Completion
Nvidia already has a significant presence within Hugging Face’s developer community, having published over 500 models and more than 250 open datasets on the platform. The company also supplies software libraries and development tools for AI projects. Hugging Face facilitates model discovery, evaluation, customization, and deployment, serving corporations, research groups, and independent developers involved in machine learning, generative AI, and other AI applications.
The $12.93 billion Nvidia acquisition of Hugging Face remains subject to review until all closing conditions are satisfied. Nvidia projects the deal will close during the first half of 2027. Under the announced commitments, Hugging Face will continue supporting developers across diverse models, cloud platforms, frameworks, and hardware.
